Pre-emption Rights in Property: When the City Can Buy in Your Place

What are pre-emption rights?

Pre-emption rights (droit de preemption) are a legal mechanism that allows a public authority (municipality, department, state) or certain bodies (tenant, co-owner in an undivided property) to purchase a property as a priority, on the terms of the sale agreed between the seller and the original buyer.

In other words, even if you have signed a preliminary sales agreement, the municipality can step into your shoes and buy the property in your place, at the agreed price.

The different pre-emption rights in Paris

The Urban Pre-emption Right (DPU): The City of Paris holds a DPU across its entire territory. Every sale is notified to the city hall via a Declaration d’Intention d’Aliener (DIA, Declaration of Intent to Sell) filed by the notary. The city has two months to respond.

The enhanced DPU: In certain zones defined by a resolution of the Paris Council, the DPU is enhanced. It then extends to transactions normally exempt (sales of co-ownership lots, inter vivos gifts).

The tenant’s pre-emption right: In the event of the sale of a property rented unfurnished, the tenant has a pre-emption right. The owner must offer them the property first, with six months’ notice before the end of the lease.

The SAFER pre-emption right: This concerns agricultural properties, uncommon in Paris intra-muros but applicable in certain Ile-de-France municipalities.

How does it work in practice?

After signing the preliminary sales agreement, the notary sends a DIA to the city hall. This declaration states the price, the conditions of the sale and the description of the property. The city has two months to respond.

Three possible responses: the city waives its right (the most common case, the sale proceeds normally), the city accepts at the stated price (it replaces the buyer), or the city proposes a lower price (the seller can accept, refuse, or refer the matter to the expropriation judge).

In practice in Paris, the DPU is exercised in fewer than 1% of transactions. The city primarily targets entire buildings in areas undergoing urban transformation, premises intended for public facilities, and housing in areas of high rental demand.

The impact on your purchase

The main impact is the timeline. Even though pre-emption is extremely rare, the two-month response period adds to the overall sale calendar. In practice, most city halls respond within 4 to 6 weeks.

The pre-emption waiver contingency clause is systematically included in preliminary sales agreements. If the city exercises its pre-emption right, the buyer recovers their deposit without penalty.

Does the city frequently exercise its pre-emption right in Paris?

Very rarely on individual co-ownership lots. Pre-emption mainly concerns entire buildings and properties of significant urban interest. For individual apartment transactions, the risk is negligible.

Does the tenant have a pre-emption right if the property is sold with a sitting tenant?

The tenant’s pre-emption right only applies when the owner gives notice to sell. If the property is sold with the tenant in place (the lease continues with the new owner), the tenant has no pre-emption right.

How do I find out if my property is in a pre-emption zone?

The urban planning information note specifies this. Your notary systematically checks this point. In Paris, virtually the entire territory is covered by the standard DPU.

How long does the pre-emption procedure last?

The city has 2 months to respond to the DIA. In the absence of a response, pre-emption is deemed not to have been exercised and the sale can proceed.
