Exclusive Purchase Search Mandate

Article 1: Purpose and Search Criteria
The Agent undertakes to search for a property matching the criteria defined by the Principal: property type, geographic areas, minimum surface area, number of bedrooms and maximum price.
Article 2: Agent's Obligations
- Select and present properties matching the criteria
- Arrange and attend viewings
- Provide valuation information
- Advise on opportunities and negotiation
- Review legal and technical documents
- Assist through to signature of the notarial deed
- Keep the Principal informed of market developments
- Fulfil TRACFIN obligations
Article 3: Principal's Obligations
- Accept full responsibility for investment decisions
- Provide identity documents and proof of funds
- Keep documents shared by the Agent confidential
- Cooperate actively with the Agent
Article 4: Exclusivity
This mandate is exclusive for the first three months from signature.
During the exclusivity period, the Principal shall not:
- Conduct personal searches matching the mandate criteria
- Engage third parties for the same search
- Contact sellers or intermediaries directly
- Accept offers without the Agent's involvement
After three months, the mandate may be converted to non-exclusive on request.
Article 5: Penalty Clause
The Principal undertakes not to purchase any property presented by the Agent during the term of the mandate, or for six months following first presentation, whether directly or through any third party.
Breach shall give rise to damages equal to the stated fee, pursuant to Article 1231-5 of the French Civil Code.
Article 6: Duration
Maximum 12 months from the date of signature.
Article 7: Termination
Either party may terminate at any time on seven days' notice.
Notification by email with read receipt to contact@homeselect.paris, or by recorded delivery letter.
Article 8: Right of Withdrawal
Pursuant to Articles L221-18 et seq. of the French Consumer Code, the Principal has a 14-day withdrawal period from electronic signature.
Exercisable via the attached form or by email to contact@homeselect.paris.
The Agent may commence work immediately unless the Principal objects.

Article 10: Fees
The Agent's fee is due only upon successful acquisition of a property matching the criteria, payable on signature of the notarial deed.
Amount: 2.5% including VAT of the net seller price, with a minimum of €10,000 including VAT.
In the event of pre-emption, the pre-emptor shall assume liability for the fee.
Fees shall also apply where the acquisition is made by an entity related to the Principal (company, family member or co-buyer).
Article 11: Special Conditions
To be agreed at signature, according to your search.
Article 12: Pre-Contractual Information
The Principal acknowledges having reviewed the pre-contractual information at homeselect.paris/en/dip-achat/ or in the annex.
Article 13: Data Protection
Processing complies with TRACFIN, the GDPR and the French Data Protection Act.
Personal data is retained for up to five years following termination.
Data subject rights: access, rectification, erasure, restriction, portability and objection.

Article 14: Duty to Inform
Each party undertakes to inform the other of any element essential to the mandate, pursuant to Article 1112-1 of the Civil Code.
Non-compliance may give rise to damages or annulment under Articles 1130 et seq.
Article 15: Governing Law
Hoguet Law no. 70-9 (2 January 1970) and Decree no. 72-678 (20 July 1972).
Article 16: Electronic Signature
Pursuant to Article 1367 of the Civil Code and EU Regulation eIDAS 910/2014, electronic signature constitutes a firm contractual commitment.
